Terms and conditions
1. Purpose and acceptance
These terms and conditions (the “Terms”) govern access to and use of the AFRICTECH SOURCING platform available at https://africtech-sourcing.vercel.app (the “Platform”), published by [societe to be completed], [forme_juridique to be completed], registered with the RCCM under number [rccm to be completed] (tax ID: [ifu to be completed]), whose registered office is at [adresse to be completed], [ville to be completed], Bénin (the “Company”). Legal representative: [representant to be completed]. Contact: [email to be completed] · [telephone to be completed]. Hosting provider: Vercel Inc., 440 N Barranca Ave #4133, Covina, CA 91723, États-Unis.
Any use of the Platform, with or without an account, constitutes full acceptance of the Terms. The Company may amend them; the applicable version is the one published on the Platform on the date of the request or order concerned.
2. Definitions
- “Customer”: any company, public body or professional submitting a sourcing request on the Platform.
- “Supplier”: any company registered on the Platform to offer electrical or industrial equipment in response to requests.
- “Request”: the description of the equipment sought by the Customer (designation, quantities, specifications, lead time, destination).
- “Proposal”: the commercial offer drawn up by the Company from the quotations received from the Suppliers invited.
- “Sourcing Service”: the service provided by the Company (supplier search, requests for quotation, comparison, proposal, order follow-up).
3. Role of the Company
The Company is a B2B sourcing intermediary. It identifies and invites Suppliers, compares their quotations and presents a Proposal to the Customer. Unless otherwise stated in writing in the accepted Proposal, the sale of the equipment is concluded between the Customer and the Supplier, who remains solely responsible for it (conformity, warranty, delivery). The Company invoices the Customer for its Sourcing Service under the pricing conditions stated in the Proposal.
The Company does not guarantee that a Request will receive a Proposal, nor the delivery time or availability announced by a Supplier. It undertakes to give a first response to every Request within the time stated on the Platform (business hours).
4. Accounts and access
Registration is reserved for professionals. The information provided must be accurate and kept up to date. Users are responsible for the confidentiality of their credentials and for any activity carried out from their account; they must report any unauthorised use without delay to [email to be completed]. The Company may suspend or close an account in the event of a breach of the Terms, false information, fraud or prolonged inactivity.
Suppliers may be required to provide supporting documents (registration, tax certificate, insurance, certifications). The “verified” label only means that these documents were received and reviewed by the Company on a given date.
5. Requests, quotations and Proposals
The Customer undertakes to describe its needs accurately. Suppliers undertake to provide accurate quotations, valid until the date they state, and to report any shortage or delay. Documents provided by the Customer are shared with invited Suppliers only upon the Company's decision and without the Customer's contact details.
The Proposal specifies the equipment, quantities, unit prices, currency, lead times, Incoterm, special conditions and the amount of the Sourcing Service. It is valid until the date it states. Acceptance of the Proposal by the Customer on the Platform constitutes a firm order for the Sourcing Service.
6. Prices, currencies and taxes
Prices are expressed in the currency stated in the Proposal. Equivalents displayed in another currency are indicative, calculated from public exchange rates on the stated date, and have no contractual value. Exchange fees actually applied by banks or payment providers remain payable by the party bearing them. Taxes, customs duties and transport costs, when not included in the Proposal, are payable by the Customer.
7. Payment
The terms of payment of the Sourcing Service (bank transfer, online payment) and of refunds are described on the “Payments and refunds” page, which forms part of the Terms.
8. Liability
The Company uses reasonable means to ensure the availability and security of the Platform, without guaranteeing uninterrupted operation. It is not liable for a Supplier's or a Customer's failure to meet their respective obligations, nor for indirect damage (loss of business, revenue or data). Where the Company's liability is established in respect of a Sourcing Service, it is limited to the amount of that Service actually paid by the Customer.
9. Intellectual property
The Platform, its brand, texts, visuals and software are protected. Any unauthorised reproduction or extraction is prohibited. Users retain ownership of the documents they upload and grant the Company the right to use them for the performance of the service.
10. Personal data
The processing of personal data is described in the “Privacy policy”, which forms part of the Terms.
11. Term and termination
The Terms apply for the whole period of use of the Platform. A user may request the closure of their account at [email to be completed]; ongoing requests, proposals and invoices remain governed by the Terms until completed.
12. Governing law and disputes
The Terms are governed by the law in force in the Republic of Benin and by the applicable OHADA Uniform Acts. Any dispute is first handled under the procedure described on the “Dispute handling” page. Failing an amicable settlement, the competent courts of [ville to be completed] (Bénin) have sole jurisdiction, unless mandatory provisions provide otherwise.
